Agreement Acceptance

This Software License Agreement ("Agreement") is a legally binding contract between you (either an individual or a single entity) referred to as "YOU," and DocuKng Inc., referred to as "DocuKng." By installing, opening, signing up, logging in, or using any part of the web- based software titled "DocuKng" and all accompanying documents and materials ("SOFTWARE" or "DOCUMENTS"), you indicate your acceptance of all the terms and conditions of this Agreement. Your acceptance is equivalent to a written agreement, and selecting "I AGREE" or performing a similar electronic function confirms your consent. If you do not agree to the terms, refrain from using the software.

Use Restrictions

It is strictly prohibited to distribute, publish, offer for sale, license, sublicense, give, or disclose the SOFTWARE or DOCUMENTS in any medium, existing or not yet existing. Exceptions are outlined in the "Allowed Usage" section (Section 6).

Payment Terms

DocuKng is sold as Software-as-a-Service (SaaS) and requires a valid membership subscription. Payment is accepted through Credit Cards and Visa/Mastercard Debit Cards. Subscriptions renew automatically, and you can manage your subscription, update payment methods, or cancel through your user account's Billing page.

• Account Cancellation: Requests for cancellation stop additional charges. However, no refunds are provided. Access continues through the current month for cancellations before a renewal date.

• Cancellation of Automatic Renewal: Annual subscriptions renew automatically, and renewal confirmation notices are sent 21 days before renewal. Automated renewal can be turned off from your online account under My Account/Billing.

• Free Trial: DocuKng offers a free trial without requiring credit card information. The trial allows a preview of templates but restricts certain actions. Full access requires purchase and activation.

• Failed Renewal & Account Suspension: If a charge is rejected, account access is suspended until updated payment information is provided.

Limited License

You are granted a limited, non-exclusive license to install the Software on one individual computer or access it online with a personal user account for personal use. The license remains valid during your subscription but terminates upon unauthorized use or violation of terms.

Proprietary Rights

DocuKng and its suppliers retain ownership, title, and intellectual property rights in the Software. Protection measures control access and prevent unauthorized copying. Users agree not to interfere with these security components.

Allowed Usage

Users are permitted to:

• Use Documents in transactions and agreements where they are a party.

• Modify Documents to suit personal needs and contractual relationships.

• Transmit Documents digitally to parties with Software licenses.

• Display or post Documents meant for public display on websites.

• Include Documents in product packaging or documentation.

Distribution

Users may distribute the full and complete unaltered software application only with prior written authorization from DocuKng, obtained through participation in partner programs.

Restrictions

Users may not:

• Modify the Software without DocuKng's written consent.

• Reverse engineer, decompile, or attempt to derive source code.

• Gain unauthorized access to Documents or DocuKng servers.

• Remove or alter trademarks, logos, or proprietary notices.

• Block or disable Software features.

• Incorporate the Software into other software or products.

• Provide false information during Software registration.

• Digitally transmit Software content without proper licensing.

Publicity

Users must not reference this Agreement in publicly distributed material without DocuKng's prior written consent.

Additional Features & Content

Certain Software features may require a valid Software license key obtained through signup, providing registration information, and payment.

Software License Key

Users agree not to control, disable, modify, or remove any component of the Software license key protection system and not to share or distribute the license key.

Software Updates

The Software automatically checks for updates, and users consent to receive updates governed by this Agreement.

Privacy

Participation in the Software Improvement Program allows anonymous data collection for performance improvement. Personal information is handled according to privacy standards and DocuKng's Privacy Policy.

Limitation of Liability

Except as required by law, DocuKng and its entities will not be liable for damages arising from Software use, including lost profits and data. DocuKng's liability is limited to replacement of the Software.

Disclaimer of Warranty

The Software is accepted "AS IS." DocuKng disclaims all warranties, express or implied, and advises seeking legal counsel for Document use.

Violations of this Agreement

DocuKng reserves the right to proceed against users infringing on rights. Violations may lead to equitable remedies, including damages and attorney fees.

Termination

DocuKng may terminate this Agreement and suspend Software licenses for non- compliance or harmful activities.

Waiver & Severability

DocuKng's waiver of a breach does not amend the Agreement. If any part is void, the remainder remains valid.
